ViewPass

1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and AK Real Estate Acquisitions LLC, a Florida limited liability company with its registered address at 7901 4th St N Ste 300, St. Petersburg, FL 33702, US, operating the ViewPass service ("ViewPass", "we", "us", "our").

By creating an agent account, booking a viewing, or otherwise using ViewPass at https://viewpass.app or through any tour link or QR code we provide, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use ViewPass.

If you are using ViewPass on behalf of a company or brokerage, you confirm that you have authority to bind that business to these Terms, and "you" includes that business.

2. What ViewPass is

ViewPass is a software service that lets real estate agents offer self guided viewings of vacant properties. Agents list a property, connect a compatible smart lockbox, and share a tour link or QR code. Prospective buyers and renters ("viewers") book a time slot, verify a government photo ID, and receive a time limited door code that works during their slot. Viewers can leave feedback and ask to submit an application, which is passed to the agent.

ViewPass is a technology platform only. We are not a real estate broker, agent, landlord, property manager or owner. We do not own, control, inspect, maintain or supervise any property, and we are not present at any viewing. Agents, property owners and viewers are solely responsible for their own conduct and decisions.

3. Who may use ViewPass

  • Agents must be at least 18 and legally able to enter into a contract. Where your jurisdiction requires a real estate licence to show property, you confirm that you hold one or are otherwise lawfully permitted to offer viewings.
  • Viewers must be at least 18. ViewPass is not for anyone under 18.
  • You must give accurate information when you sign up or book, and keep it accurate.
  • Agents are responsible for everything done under their account and for keeping their password secure. Tell us straight away if you think your account has been compromised.

4. Agent responsibilities

If you are an agent, you agree to the following. These are not optional. They are what makes unaccompanied viewings safe and lawful, and you must comply with them in order to use ViewPass.

4.1 Owner authorisation

You must have the express permission of the property owner (or whoever has legal authority over the property) before you list it for self guided viewings. You are solely responsible for obtaining, documenting and, where relevant, renewing that permission, and for complying with any conditions the owner places on access. ViewPass may ask you to confirm that you have this permission, but we do not verify it and we rely on your confirmation.

4.2 Property condition and safety

You are responsible for the property being reasonably safe for an unaccompanied visitor, and for disclosing any hazards. This includes, without limitation, properties that are partly renovated, have exposed wiring, unsafe stairs, missing handrails, open excavations or similar. ViewPass has no way of knowing the condition of any property and takes no responsibility for it.

4.3 Vacant properties only

ViewPass is designed for vacant properties. You must not use it to give unaccompanied access to an occupied property without the occupier's knowledge and express consent.

4.4 Lockbox hardware

You buy, own, install and maintain your own smart lockbox. We support igloohome lockboxes and TTLock compatible lockboxes. We do not sell, rent or warrant hardware, and we are not responsible for a lockbox failing to open, opening unexpectedly, or being damaged, removed or tampered with. You are responsible for the physical security of any key placed inside a lockbox.

4.5 Accurate listings and compliance

Listing information must be accurate and not misleading. You must comply with all laws that apply to you, including real estate licensing law, the federal Fair Housing Act and all state and local fair housing and anti discrimination laws, and any rules of a brokerage, MLS or association you belong to. Compliance with the Fair Housing Act and equivalent laws is solely your responsibility, and ViewPass expressly disclaims any liability in connection with it. You may not use viewer information obtained through ViewPass in a way that discriminates on any legally protected basis, and you may not use the outcome of any identity check as a basis for any discriminatory decision.

4.6 Insurance

We recommend that you hold appropriate insurance for every property you list for self guided viewings. Check your policy carefully, including any exclusions and deductibles, and in particular confirm whether it covers the actions or inactions of unaccompanied visitors while at the property. ViewPass is not an insurer and does not provide any insurance cover for you, the property owner, the property or any viewer.

4.7 Viewer information

ViewPass gives you a viewer's name, contact details, booking, identity check result, feedback and application request so that you can run the viewing and follow up. You may use that information only for those purposes and in line with applicable privacy and anti spam law. You may not sell it or add viewers to marketing lists without their consent.

5. Viewer responsibilities

If you are a viewer, by booking a viewing you agree to the following.

  • You will only enter the property during the slot you booked, using the code issued to you, and you will leave by the end of your slot.
  • You will not share your door code with anyone else, and you will not let anyone else into the property. The code is for you alone.
  • You will return any key to the lockbox and secure the property when you leave, following any instructions shown on your booking.
  • You will treat the property with care, not remove or damage anything, and not use it for any purpose other than viewing it.
  • You will give accurate information when booking and will verify your own identity, not someone else's.
  • You enter the property at your own risk. Nobody from ViewPass or, usually, from the agent will be present. If you are not comfortable entering an unattended property, do not book a self guided viewing.

Misuse of a door code, entering outside your slot, or giving access to others may be a criminal offence. We keep a record of which code was issued to which booking and will cooperate with agents, owners and law enforcement in the event of misuse.

6. Identity verification

Every viewer must pass an identity document check before a door code is issued. Checks are carried out by our verification partner, Didit. The check may approve, decline or refer your verification for review. We and the agent rely on the result, and a door code will not be issued unless the check is approved. We are not responsible for a verification being declined or delayed, and we do not guarantee that a verification result is accurate. You must not attempt to verify using someone else's document or a false document.

Identity verification confirms that a government photo ID appears valid and matches the name given. It is not a background check, a credit check, a criminal record check or any assessment of a person's character, intentions or suitability. Neither ViewPass nor the verification partner vouches for any viewer, and a passed check should not be taken as a statement that a viewer is safe, trustworthy or suitable. Agents and owners remain responsible for their own decisions about who they allow into a property.

7. Door codes

  • Door codes are generated through our smart lock partner, Seam, and are valid for a window around your booked slot. The exact window is shown on your booking confirmation and in your confirmation email. Depending on the lockbox hardware, the window may be wider than your booked slot.
  • Once a code has been issued it cannot always be cancelled before it expires, because some lockbox hardware does not support revoking a code remotely.
  • The code is shown once on screen and sent to the email you gave when booking. It is your responsibility to keep it. We recommend taking a screenshot.
  • We do not guarantee that a code will be issued or will work. Lockbox hardware, connectivity and third party services can fail. If a code does not work, contact the agent for the property. We are not liable for a missed or failed viewing.

8. Subscriptions, fees and billing

This section applies to agents.

  • Pricing is shown on our website. A subscription currently costs $49 per month and includes two active listings. Each additional active listing is $19 per month, at any quantity. Annual plans are available at the rate shown on the pricing page.
  • Payments are processed by Stripe. You authorise us to charge your payment method on a recurring basis until you cancel.
  • When you activate a listing that takes you above your included listings, the additional charge is applied immediately on a pro rata basis for the rest of the current billing period, and your next invoice reflects the new total. We show you the new amount before you confirm.
  • When you deactivate or archive a listing, your bill reduces at the start of the next billing period. There is no refund for the part of a period already used. Each listing is billed for a minimum of 30 days from activation.
  • Monthly subscriptions can be cancelled at any time from your dashboard, with no notice period. Access continues until the end of the period you have paid for.
  • Annual subscriptions are prepaid. If you cancel within 30 days of the payment date we will refund the full annual amount. After 30 days, annual subscriptions are non refundable.
  • If a payment fails, we may suspend access to your dashboard until it is resolved. Listings may stop accepting bookings while your account is suspended.
  • Prices may change. We will give agents at least 30 days' notice by email before a price change takes effect for them.
  • Prices exclude any applicable taxes, which may be added where required by law.

9. Cancelling and closing your account

Agents may cancel their subscription at any time from the dashboard. Archiving or deleting a listing disables its tour link immediately. When an account is closed, we may retain booking and access records as described in our Privacy Policy, because those records form the log of who entered a property and when.

We may suspend or close an account, or stop a listing taking bookings, if we reasonably believe these Terms have been breached, if we are required to by law, or if we believe it is necessary to protect a property, a viewer, an agent or ViewPass. Where practical we will tell you why.

10. Third party services

ViewPass depends on services run by other companies, including Didit (identity verification), Seam and the lockbox manufacturers igloohome and TTLock (door codes), Stripe (payments), Supabase (hosting and sign in) and Resend (email). When you use ViewPass you may be taken to pages run by those companies and will be subject to their terms. We do not control them and are not responsible for their performance, outages, errors or data practices. If one of them fails, parts of ViewPass may not work.

ViewPass is an independent software company. We are not owned by, controlled by, or a subsidiary, reseller or authorised representative of igloohome, TTLock, Didit, Seam, Stripe or any other third party named in these Terms. We integrate with their services but have no ability to control their business decisions, pricing, security practices, uptime or continued operation. Any dispute, claim or loss arising from their products or services, including any smart lockbox, should be directed to that company, not to ViewPass.

11. Acceptable use

You may not:

  • Use ViewPass for anything unlawful, or to gain access to a property you are not entitled to enter.
  • Share, resell or misuse door codes, or try to generate codes outside the booking process.
  • Attempt to bypass identity verification, billing, or any security or access control.
  • Scrape, copy, reverse engineer or interfere with ViewPass, or use automated tools to make bookings.
  • Upload or enter anything that is false, infringing, defamatory or harmful.
  • Use ViewPass to harass, discriminate against or harm any person.

12. Our content and your content

ViewPass, its software, design and branding belong to AK Real Estate Acquisitions LLC. We grant agents a limited, non exclusive, non transferable licence to use ViewPass for their own business while their subscription is active. You keep ownership of the listing information, descriptions and feedback you enter, and you grant us a licence to use it to run the service. ViewPass is not affiliated with igloohome, TTLock, Didit, Seam, Stripe or any other named third party; their names and marks belong to them.

13. Disclaimers

VIEWPASS IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON INFRINGEMENT. WE DO NOT WARRANT THAT VIEWPASS WILL BE UNINTERRUPTED, ERROR FREE OR SECURE, THAT ANY DOOR CODE WILL BE ISSUED OR WILL WORK, THAT ANY IDENTITY CHECK IS ACCURATE, OR THAT ANY PROPERTY IS SAFE, VACANT, AS DESCRIBED OR AVAILABLE.

WE ARE A SOFTWARE PLATFORM. WE DO NOT OWN, CONTROL, INSPECT OR SUPERVISE ANY PROPERTY OR ANY VIEWING. THE AGENT AND PROPERTY OWNER ARE RESPONSIBLE FOR THE PROPERTY AND FOR AUTHORISING ACCESS TO IT. VIEWERS ENTER PROPERTIES AT THEIR OWN RISK.

We are not responsible for the acts or omissions of any agent, property owner, viewer or other third party. If you suffer loss or harm as a result of what another user or a third party does or fails to do, whether at a property or otherwise, you agree that any legal remedy or liability you seek for those acts or omissions will be limited to a claim against the particular person or persons who caused you harm, and you agree not to attempt to impose liability on, or seek any remedy from, ViewPass in respect of them.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AK REAL ESTATE ACQUISITIONS LLC AND ITS OWNERS, OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO VIEWPASS OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE ABOVE, WE ARE NOT LIABLE FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, THEFT, TRESPASS OR OTHER LOSS OCCURRING AT OR IN CONNECTION WITH ANY PROPERTY OR VIEWING, OR ARISING FROM THE ACTS OR OMISSIONS OF ANY AGENT, OWNER, VIEWER OR THIRD PARTY, INCLUDING WHERE ACCESS TO A PROPERTY WAS GRANTED BY MEANS OF A DOOR CODE ISSUED THROUGH VIEWPASS OR A LOCKBOX CONNECTED TO VIEWPASS, OR FROM THE FAILURE, MALFUNCTION OR MISUSE OF ANY LOCKBOX, DOOR CODE, IDENTITY CHECK OR THIRD PARTY SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO VIEWPASS OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

15. Indemnity

You agree to defend, indemnify and hold harmless AK Real Estate Acquisitions LLC and its owners, officers, employees and suppliers from any claims, losses, damages, liabilities and expenses (including reasonable legal fees) arising out of or relating to: your use of ViewPass; any property you list or visit; your breach of these Terms or of any law, including fair housing law; any lack of owner authorisation for a listing; the condition of any property; any personal injury, property damage or loss at a property to which access was granted by means of a door code issued through ViewPass; or, if you are a viewer, your conduct at a property or misuse of a door code.

16. Governing law and disputes

These Terms are governed by the laws of the State of Florida and applicable United States federal law, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms or ViewPass will be brought exclusively in the state or federal courts located in Pinellas County, Florida, and you consent to their jurisdiction. Before starting formal proceedings, you agree to contact us at support@viewpass.app and make a good faith attempt to resolve the dispute informally for at least 30 days.

Nothing in this section prevents either party from seeking injunctive relief to prevent misuse of a door code, unauthorised access to a property, or infringement of intellectual property.

17. General

  • Changes. We may update these Terms. We will change the date at the top, and for significant changes we will tell agents by email or a notice in the dashboard. Continued use after a change means you accept the new Terms.
  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about ViewPass and replace any earlier understanding.
  • Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
  • No waiver. If we do not enforce a right, that is not a waiver of it.
  • Assignment. You may not transfer your rights under these Terms. We may transfer ours in connection with a merger, acquisition or sale of the business.
  • Notices. We will contact agents at the email on their account. You can contact us at support@viewpass.app.
